SUBJECT TO CHANGE WITHOUT NOTICE

These Terms and Conditions apply to the Tree Guardians Winter Services Campaign (“Campaign”), including any related promotional offers, advertisements, landing pages, forms, communications, discounts, incentives, or services offered in connection with the Campaign.

Tree Guardians-affiliated brands associated with the Campaign may include Heartwood Tree Experts, Gamma Tree Experts, Caldwell Tree Care, King Tree Specialists, Burke’s Tree Service, Independent Tree, Hoppe Tree Service, Arborist Enterprises, Herrington Tree Service, Epperson Tree, All About Trees, Rite-A-Way Tree Service, TreeWiseMen, Budget Tree Service, GoodGuys Tree Service, and Joseph Tree Specialists.

The Campaign may be promoted, administered, or fulfilled by Tree Guardians, its parent companies, subsidiaries, affiliates, related entities, portfolio companies, operating companies, brands, successors, assigns, and independently named businesses operating within or affiliated with the Tree Guardians platform (collectively, “Tree Guardians,” “we,” “us,” or “our”). Services requested through the Campaign may be provided by the applicable Tree Guardians-affiliated local operating company serving the customer’s geographic area (“Service Provider”).

By submitting information through the Winter Services landing page, requesting an estimate or service, scheduling an appointment, redeeming an offer, or otherwise participating in the Campaign, you acknowledge and agree to these Terms.

1. NO PURCHASE NECESSARY
No purchase is necessary to submit an inquiry, request information, request an estimate, or otherwise participate in the Campaign unless expressly stated in connection with a specific promotional offer.

Submitting a form, requesting an estimate, scheduling an assessment, or communicating with Tree Guardians does not obligate you to purchase services.

Where a particular discount, promotional price, credit, incentive, or other benefit is conditioned upon the purchase of qualifying services, those requirements will be disclosed in connection with the applicable offer.

2. ELIGIBILITY
The Campaign is intended for individuals who are at least 18 years of age and are legally authorized to request services for the property identified in their submission.

By requesting services, you represent that you are the property owner, an authorized representative of the property owner, or otherwise have authority to authorize an inspection, estimate, and/or performance of the requested services.

Commercial properties, residential properties, rental properties, homeowners associations, municipalities, and other property types may be subject to different eligibility requirements, pricing, contractual terms, or service availability.

3. SERVICE AREA AND AVAILABILITY
Campaign participation and services are available only in geographic areas serviced by participating Tree Guardians-affiliated operating companies.

Submission of a request does not guarantee that services are available at your location. Service availability may vary based on geographic location, property conditions, staffing, equipment availability, weather, seasonality, permitting requirements, local

regulations, safety considerations, and other operational factors.
Tree Guardians and the applicable Service Provider reserve the right to decline any request for service.

4. ESTIMATES AND PRICING
Unless expressly stated otherwise, all estimates are subject to inspection and confirmation by the applicable Service Provider.

Pricing may vary based on factors including, but not limited to, the type and scope of work, property conditions, tree size and condition, accessibility, equipment requirements, disposal requirements, permitting, utilities, hazards, weather conditions, labor requirements, geographic location, and other site-specific considerations.

Any pricing, savings, discounts, percentages, “starting at” pricing, or other promotional representations displayed in Campaign advertising are subject to the specific terms of the applicable offer and do not constitute a binding quote unless expressly stated otherwise in writing.

A final scope of work and price may be provided separately by the applicable Service Provider and may be subject to additional service-specific terms and conditions.

5. PROMOTIONAL OFFERS AND DISCOUNTS
Any discount, promotional price, credit, incentive, coupon, or other Campaign offer is subject to availability and any additional terms stated in the applicable advertisement, landing page, estimate, proposal, or promotional communication.

Unless expressly stated otherwise:

• Offers are valid only during the stated promotional period.
• Offers apply only to qualifying services.
• Offers may be limited to participating locations or Service Providers.
• Offers have no cash value and may not be redeemed for cash.
• Offers may not be transferred, sold, reproduced, or exchanged.
• Offers may not be combined with other discounts, promotions, coupons, negotiated pricing, insurance pricing, contract pricing, or previously accepted proposals unless expressly authorized by the applicable Service Provider.
• Offers are not valid on previously completed services.
• Offers may not be applied retroactively to previously executed contracts or accepted proposals unless expressly approved in writing.
• Limitations, minimum service amounts, maximum discounts, exclusions, or other restrictions may apply as disclosed with the applicable offer.
• Taxes, permits, emergency-service charges, specialty equipment, third-party charges, and other fees may be excluded from promotional discounts.
  Tree Guardians and the applicable Service Provider reserve the right to determine whether a service qualifies for a promotional offer.

6. WINTER AND SEASONAL SERVICES
The specific services available through the Campaign vary by market and Service Provider. References to “winter services,” “winter tree services,” “seasonal services,” or similar terminology do not represent a guarantee that every service advertised is available in every market.

Service recommendations are based on the circumstances of the individual property, applicable tree and plant species, local climate, weather, site conditions, and professional assessment.

Nothing contained on the Campaign landing page or in Campaign advertising should be interpreted as a guarantee that a particular service is appropriate for a specific tree, plant, property, or condition.

7. SCHEDULING AND WEATHER
Requested appointment dates and service dates are not guaranteed until confirmed by the applicable Service Provider.

Tree care and related outdoor services are inherently affected by weather and site conditions. Appointments and scheduled work may be delayed, rescheduled, modified, or canceled due to rain, snow, ice, wind, storms, unsafe conditions, equipment availability, emergencies, government restrictions, or other circumstances beyond the reasonable control of the Service Provider.

Tree Guardians and the applicable Service Provider are not responsible for delays resulting from such circumstances.

8. PROPERTY CONDITIONS AND ACCESS
Customers are responsible for providing reasonable and safe access to the property and areas necessary to inspect or perform the requested services.

Additional charges or modifications to the scope of work may be required if previously undisclosed or unforeseen conditions are discovered, including but not limited to inaccessible areas, underground or overhead utilities, fences, structures, unstable trees, hazardous materials, animals, restricted access, property-line disputes, permitting requirements, or other site conditions.

The applicable Service Provider may decline, suspend, or discontinue work if conditions are determined to be unsafe or materially different from those represented when the service was scheduled or estimated.

9. TREE AND PROPERTY CONDITIONS
Trees and outdoor environments are living and inherently variable systems. Tree condition, structural integrity, disease, pests, weather, soil conditions, hidden decay, root systems, and other factors may not always be visible or predictable.

Unless expressly provided in a written agreement with the applicable Service Provider, no representation made in connection with the Campaign constitutes a guarantee regarding the future health, survival, growth, structural integrity, appearance, or condition of any tree, shrub, landscape, or property.

Any warranties applicable to services will be governed by the written service agreement or proposal issued by the applicable Service Provider.

10. LOCAL OPERATING COMPANIES
Tree Guardians is a platform comprising multiple affiliated businesses and operating brands. Depending on your location, your inquiry may be referred to, contacted by, contracted with, and/or serviced by a locally operating Tree Guardians-affiliated company.

The legal entity identified on your estimate, proposal, service agreement, invoice, or other contractual documentation is the entity responsible for performing the applicable services and will be your contracting Service Provider.

Service offerings, licenses, certifications, insurance coverage, warranties, pricing, payment terms, and contractual terms may vary by Service Provider and jurisdiction.

If there is any conflict between these Campaign Terms and a subsequently executed service agreement with your Service Provider regarding the actual performance of services, the executed service agreement will control with respect to those services.

11. FORM SUBMISSIONS AND ACCURACY OF INFORMATION
By submitting information through the Campaign, you represent that the information you provide is accurate and that you are authorized to provide it.

Submitting false, misleading, incomplete, fraudulent, or unauthorized information may result in cancellation of an inquiry, estimate, appointment, promotional benefit, or service request.

Tree Guardians reserves the right to verify eligibility and information submitted in connection with the Campaign.

12. COMMUNICATIONS
By submitting your contact information, you authorize Tree Guardians and the applicable Tree Guardians-affiliated Service Provider to contact you regarding your inquiry, requested estimate, appointment, services, and related customer-service communications using the contact information you provide.

Depending on the selections and disclosures presented with the applicable form, you may also separately consent to receive marketing or promotional communications.

Consent to receive marketing communications is not a condition of purchasing goods or services.

Message and data rates may apply to text communications. Message frequency may vary. Where applicable, you may opt out of marketing text messages by replying STOP or using another opt-out method provided in the communication.

Any consent language displayed immediately adjacent to a Campaign form is incorporated into these Terms by reference.

13. PRIVACY
Information submitted through the Campaign will be handled in accordance with the applicable privacy policy presented on the website or landing page.

Information may be shared among Tree Guardians-affiliated entities and the applicable Service Provider as reasonably necessary to respond to inquiries, provide estimates, schedule appointments, perform services, administer the Campaign, provide customer support, and conduct permitted business and marketing activities.

14. ERRORS, MISPRINTS, AND TECHNICAL ISSUES
Tree Guardians is not responsible for typographical errors, printing errors, incorrect promotional codes, technical malfunctions, website outages, transmission failures, lost or incomplete form submissions, inaccurate third-party advertising, or other errors affecting the Campaign.

If an offer, price, discount, or Campaign term is published incorrectly due to a technical, clerical, advertising, or other error, Tree Guardians reserves the right to correct the error and, where permitted by law, decline to honor an erroneous offer.

15. MODIFICATION OR TERMINATION OF CAMPAIGN
To the fullest extent permitted by applicable law, Tree Guardians reserves the right to modify, extend, suspend, cancel, or terminate the Campaign or any promotional offer at any time.

Any modification will not affect contractual obligations already accepted in writing by a Service Provider unless otherwise permitted under the applicable service agreement or law.

16. FRAUD, ABUSE, AND MISUSE
Tree Guardians reserves the right to deny or revoke any promotional benefit or Campaign participation where it reasonably believes there has been fraud, abuse, manipulation, duplication, misrepresentation, unauthorized use, or violation of these Terms.

17. THIRD-PARTY SERVICES AND CONTENT
The Campaign may use or link to third-party websites, scheduling platforms, payment processors, advertising platforms, mapping services, communications providers, or other third-party technology.

Tree Guardians is not responsible for the availability, content, privacy practices, security, or performance of unaffiliated third-party platforms, except as otherwise required by applicable law.

18. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TREE GUARDIANS AND ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, RELATED ENTITIES, PORTFOLIO COMPANIES, OPERATING COMPANIES, BRANDS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO PARTICIPATION IN THE CAMPAIGN, USE OF THE CAMPAIGN LANDING PAGE, OR RELIANCE UPON CAMPAIGN ADVERTISING.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

Liability relating to the actual performance of purchased services will be governed by the applicable agreement between the customer and the Service Provider, subject to applicable law.

19. NO PROFESSIONAL OR SAFETY GUARANTEE FROM WEBSITE CONTENT
Information provided through the Campaign, website, advertisements, emails, social media, or other marketing materials is general informational and promotional content and is not a substitute for an on-site professional assessment.

Customers should not rely upon Campaign content to determine whether a tree or property condition presents an immediate safety risk.

If you believe a tree, limb, utility, or other property condition presents an immediate danger to people or property, avoid the affected area and contact the appropriate emergency service, utility provider, municipality, or qualified professional as appropriate.

20. COMPLIANCE WITH APPLICABLE LAW
The Campaign is void where prohibited or restricted by law.

These Terms are subject to all applicable federal, state, and local laws and regulations. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

21. ADDITIONAL SERVICE TERMS
Actual tree care, plant health care, removal, pruning, emergency, seasonal, or other services may be subject to additional terms contained in the applicable Service Provider’s estimate, proposal, work authorization, contract, invoice, warranty, or other service documentation.

Participation in this Campaign does not modify or supersede those service-specific terms except where expressly stated in writing.

22. CAMPAIGN INTERPRETATION
To the fullest extent permitted by applicable law, Tree Guardians reserves the right to interpret these Terms and determine eligibility for Campaign offers in good faith.

Questions regarding a particular service, estimate, promotional offer, or eligibility determination should be directed to the applicable Tree Guardians-affiliated Service Provider.

23. ENTIRE CAMPAIGN TERMS
These Terms, together with any offer-specific disclosures displayed in Campaign advertising or on the applicable landing page, constitute the terms governing participation in the Campaign.
Additional terms applicable to purchased services will be contained in the applicable Service Provider’s service agreement or related documentation.

The stated Campaign Period does not constitute a guarantee that the Campaign, any particular promotional offer, or any specific service will remain available through December 31, 2026.

Any extension of the Campaign beyond December 31, 2026 may be subject to these same Terms unless otherwise stated. Tree Guardians may establish a new expiration date or modify the terms, eligibility requirements, participating locations, qualifying services, promotional benefits, or other Campaign conditions during any extension.
Modification or termination of the Campaign will not affect contractual obligations already accepted in writing by an applicable Service Provider, except as otherwise permitted under the applicable service agreement or applicable law.
